1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Auxy AI Technologies Private Limited (“Auxy AI”, “Company”, “we”, “us”, or “our”).

By accessing or using our platform, software, AI agents, APIs, voice systems, chat systems, and related services (“Services”), you agree to be bound by these Terms.

If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law to use the Services.

3. Description of Services

Auxy AI provides an AI-powered omnichannel customer experience automation platform, including but not limited to:

• AI voice agents

• AI chat agents

• Lead qualification automation

• Sales workflow automation

• Customer support automation

• CRM and third-party integrations

• Analytics and reporting dashboards

We may update, modify, or discontinue features at our discretion to improve platform performance.

4. Account Responsibilities

You are responsible for:

• Maintaining confidentiality of login credentials

• All activities conducted under your account

• Ensuring lawful use of the platform

You agree not to:

• Use the platform for spam, fraud, harassment, or unlawful communication

• Violate telecom, data protection, or marketing regulations

• Attempt to reverse engineer, copy, or misuse platform technology

5. Payments and Subscriptions

Services may be offered under monthly, annual, or enterprise subscription plans.

• Fees are due as per the selected plan.

• All payments are non-refundable unless otherwise agreed in writing.

• Auxy AI may revise pricing with prior notice.

Refunds, if any, are granted solely at the discretion of Auxy AI.

6. Data Ownership and AI Improvement

You retain ownership of your proprietary business and customer data.

Auxy AI may:

• Process data strictly to provide Services

• Use anonymized and aggregated data to improve system performance, security, analytics, and AI models

• Monitor usage trends for optimization and compliance

Auxy AI does not claim ownership over your business data.

7. Intellectual Property

All platform technology, AI models, algorithms, software infrastructure, designs, workflows, and branding remain the exclusive property of Auxy AI.

You are granted a limited, non-exclusive, non-transferable license to use the Services during your active subscription.

8. Suspension and Termination

Auxy AI may suspend or terminate access immediately, without prior notice, if:

• These Terms are violated

• Fraudulent, abusive, or unlawful activity is detected

• Payment obligations are unmet

• Continued usage poses legal or regulatory risk

You may cancel your subscription subject to billing terms.

9. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

Auxy AI does not guarantee:

• Uninterrupted or error-free operation

• Specific business outcomes

• Compliance of your campaigns with applicable laws

We will use commercially reasonable efforts to maintain service reliability.

10. Limitation of Liability

To the maximum extent permitted under Indian law:

Auxy AI’s total liability shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.

Auxy AI shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue, profits, or data.

11. Compliance with Laws

You are solely responsible for ensuring that your use of the Services complies with:

• The Information Technology Act, 2000

• Telecom Regulatory Authority of India (TRAI) regulations

• Data protection laws

• Anti-spam and marketing regulations

Auxy AI operates as a technology provider and does not assume liability for misuse of the platform.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.

13. Amendments

Auxy AI reserves the right to update or modify these Terms at any time.

Continued use of the Services after updates constitutes acceptance of the revised Terms.
